　Ⅲ.Procedure for Sino-foreign Joint Venture & Chinese-Foreign Co-operative Enterprises

　1. Submit to Economic Trading Bureau of the Demonstration Zone for project approval and Feasibility Study
　　1) Application for project approval and feasibility study
　　2) “Application form for sino-foreign jiont venture or Chinese-foreign co-operative enterprises” or project protocol
　　3) Protocol signed by co-operative enterprises
　　4) Feasibility study signed by co-operative partners
　　5) Legal personality certificate and credit proof of co-operative firms
　　6) Credit evaluation report of government capital administration provided by China state-owned enterprise

　2. Check and registration for enterprise name
　　1) Application report for enterprise name signed by its director
　　2) Registration form for foreign enterprise name
　　3) Protocol and feasibility study as well al approved document signed by its walla
　　4) Effective starting business certificate from each side’s country(duplicating edition)

　3. Approval of contract & article and its approved report for foreign enterprise (Economic and Trading Bureau of Demonstration Zone)
　　1) Report of enterprise contract & article signed by authorities concerned
　　2) Protocol , project feasibility study and its approved document
　　3) Contract , articles and its accessary of co-operative enterprise
　　4) Legal personality certificate and credit proof from investors
　　5) List for imported equipment
　　6) Name list for board of director, appointed order of its general manager, vice-manager and their identification of co-operative enterprise
　　7) Notice for approved enterprise name
　　8) Credit Evaluation report of government capital administration provided by China state-owned enterprise
　　9) Other necessary documents

　4. Tax registration ( Industry & Commercial Bureau of Demonstration Zone)
　　1) Notice for approved enterprise name
　　2) Application Form signed by chairman of board from foreign enterprise
　　3) “Application Form for Foreign Enterprise”

　　5) Establishing application form for foreign enterprise

　　4) Effective starting business certificate by investor’s home government (duplicating form)

　3. Articles for approval and application ratified certificate
　　1) Feasibility study of the project and written proposal from department concerned
　　2) Establishing application form for foreign enterprise
　　3) Articles for foreign enterprise
　　4) Legal personality ceitificate and credit proof from foreign investor
　　5) Balance of sheet for past three years
　　6) Plan for balance of foreign exchange between income and expenditure
　　7) List for imported equipment
　　8) Name list for board of director, appointed order of its general manager, vice-manager and their identification of soly foreign-owned enterprise
　　9) Notice for name of soly foreign-owned enterprise approved by industry and commercial administration department
